Amazon arranged up to $80 billion of borrowing secured on the computers it buys.

Amazon's quarterly report discloses a secured loan facility of up to about $80 billion for technology infrastructure, drawable from early 2027 to late 2028. Caveat: nothing is drawn, and no lender is named.

Until now

Amazon borrows unsecured, on its name, and pledges nothing.

Now

It will pledge the hardware itself to pay for the build.

Why it matters

Secured borrowing changes who bears the loss. Unsecured lenders rank behind nothing; these lenders will hold a claim on specific chips and servers. Amazon has the largest operating cash flow in technology and is pledging assets anyway. The cheapest money in the industry now comes with collateral attached.

Established

  • The 10-Q discloses a secured facility of up to approximately $80.0 billion.
  • Draws run at Amazon's discretion from early 2027 through late 2028.
  • Amazon will grant a security interest in certain purchased assets.

Not established

  • That Amazon borrows any of it. The facility is undrawn and its size varies.
  • Who lends. The filing names no bank, vendor or syndicate.
  • The price. Interest is variable and no margin is published.

The record

Amazon.com, Inc. filed its Form 10-Q for the quarter ended September 30, 2026, accession 0001018724-26-000040. EDGAR carries a filing date of October 30, 2026 and an acceptance time of 18:20 Eastern on October 29. The report is signed by Shelley L. Reynolds, vice president and worldwide controller, and dated October 29. We read it at sec.gov. The debt note states: "We enter into supplier financing arrangements that provide for certain purchases of technology infrastructure assets, including a secured loan facility (the 'Loan Facility') providing for borrowings at our discretion, from Q1 2027 through Q3 2028 and subject to variability based on the extent and timing of purchase orders and pricing terms, of up to approximately $80.0 billion, which accrue interest at variable rates and mature five years from the date of each borrowing." It adds: "We will grant a security interest in certain purchased assets in connection with the Loan Facility." Amounts outstanding will be carried as long-term debt. The same note records the rest of the funding. In June 2026 Amazon entered a $17.5 billion unsecured delayed single draw term loan at SOFR plus 0.625% to 0.875%, drew it in full in September, and owes it in September 2029; $17.5 billion was outstanding at September 30. Total face value of long-term debt reached $180,887 million, against $68,836 million at December 31, 2025, and the notes' fair value was $145.4 billion against $61.1 billion. In October 2026 Amazon replaced both revolvers with a new $5.0 billion 364-day facility maturing October 2027 and a new $15.0 billion facility running to October 2031, both dated October 27 with Citibank, N.A. as administrative agent, filed as Exhibits 10.1 and 10.2; Exhibit 10.3 is the October 27 amendment to the term loan. Principal contractual commitments total $883,581 million, of which $31,625 million falls in the fourth quarter of 2026 and $124,342 million in 2027, including $159,640 million for property and equipment and $164,922 million of leases not yet commenced. Amazon also discloses an Anthropic facility "not to exceed $20.0 billion", cut to $15.0 billion by a $5.0 billion Series H purchase, with $62.8 billion of upward adjustments over 9 months. Not established: the lenders, the margin, which assets are pledged, and whether anything is drawn.

Who has to react

The banks and vendors that have to fund $80 billion of hardware paper; the rating agencies, since secured debt ranks ahead of the unsecured notes; holders of $145.4 billion of Amazon notes; Nvidia, whose orders the draws follow; treasurers at Alphabet, Meta and Microsoft; and Anthropic, whose $15.0 billion facility sits in the same note.

What to watch

  • Would strengthen itAmazon draws on the Loan Facility, or a second company spending above $100 billion a year on AI discloses secured borrowing above $10 billion against computing hardware, by December 31, 2027.
  • Would weaken itThe draw window closes in 2028 with nothing borrowed, or Amazon cuts 2027 cash capital expenditure guidance below $180 billion, by December 31, 2028.
  • Would strengthen itAmazon or a counterparty names the lenders, the pledged assets or the vendor behind the Loan Facility in a filing or credit agreement, by June 30, 2027.

Why it weighs this much

Signal strength
CostMedium
CommitmentHigh
ReversibilityModerate
PersistenceYears

Cost is medium. Nothing is borrowed and no fee is disclosed, but arranging $80 billion of secured paper and agreeing to pledge assets is work a company does only when it expects to need the money. Commitment is high: this is a described facility in a quarterly report signed by the controller, not a plan in a presentation. Reversibility is moderate, because an undrawn facility can lapse, and the draw window itself expires in 2028. Persistence is years rather than structural: each borrowing matures five years out, so the first liens would run to 2032 at the latest.

The words

Secured borrowing
Debt backed by named assets. If the borrower fails, the lender takes those assets, ahead of unsecured lenders and shareholders.
Supplier financing
An arrangement in which the money to buy equipment is lent against the equipment itself, usually alongside the vendor or its bank.
Security interest
The legal claim a lender registers over specific property, which lets it seize that property if payments stop.
Delayed draw term loan
A loan committed now and taken later, in instalments. The borrower normally pays a fee on the part not yet taken.
