AMD told the SEC it guarantees $8.5 billion of partners' leases and borrowings.
AMD's quarterly filing on November 4 put the maximum exposure under those guarantees at $8.5 billion. Caveat: no partner has defaulted and nothing has been paid.
AMD sells chips; its customers finance their own data centres.
AMD carries their lease risk, and signs leases to hand them.
Why it matters
A seller that guarantees its buyers' rent is financing demand, not only meeting it. AMD has also signed $13.3 billion of data centre leases it expects to pass to partners, and will buy $6.2 billion of cloud capacity if customers do not. The risk is moving up the chain, from tenant to vendor.
Established
- Maximum exposure is $7.7 billion on leases and $750 million on borrowings.
- No commercial partner was in default on September 26, 2026.
- Uncommenced data centre leases total $13.3 billion over 10 to 15 years.
Not established
- Which partners. The filing names none of them.
- That AMD will pay anything. Guarantees can expire unused.
- The fair value. AMD calls it not material and gives no figure.

The record
The Form 10-Q for the quarter ended September 26, 2026 was filed November 4, 2026 and read at sec.gov. Note 11 states that the maximum potential amount of future payments under guarantees of commercial partners' lease and debt obligations was $8.5 billion, with remaining terms of up to 15 years. Note 8 splits it: data centre lease guarantees covering partners' obligations to third-party landlords carry maximum gross exposure of $7.7 billion over terms of up to 15 years, and commercial partner debt guarantees covering partners' borrowings used to finance data centre infrastructure carry maximum gross exposure of $750 million over terms of up to 6 months. On a partner's default AMD may assume the leases for internal use, or assign or sublease them; on a debt default it must repay the borrowings and may recover from the partner or the data centre assets. AMD accounts for the guarantees as credit derivatives at Level 3 fair value and says that fair value, and the related gains and losses, were not material. No partner was in default and no amounts had been paid. Beside them: data centre leases not yet commenced, expected to be assigned or subleased to commercial partners, with aggregate future payments of $13.3 billion over 10 to 15 year terms, commencing from the second quarter of fiscal 2027; cloud compute commitments of $6,175 million through 2031 and beyond, which AMD buys to the extent capacity is not purchased by third-party customers; other purchase commitments of $48,761 million; commitments to make equity investments of up to $5.1 billion through fiscal 2028, plus $1.0 billion put into a public company's equity offering in October 2026; and warrants issued to 2 customers in October 2025 and February 2026, each for up to 160 million AMD shares at 1 cent. The quarter itself: Data Center revenue of $8,546 million against $4,341 million a year earlier, total revenue of $13,377 million, up 45%, and net income of $2,428 million. Pending acquisitions include Taalas Inc., agreed in August 2026 for about $2.9 billion including up to about $1.4 billion contingent.
How it got here
- Sep 26
AMD agreed to pay about $8.2 billion in stock for Fei-Fei Li's World Labs and made her chief scientist. Edition 036's card.
- Oct 28
Broadcom told the Securities and Exchange Commission it could owe $43 billion if a chip customer defaulted. Edition 064 carded the same shape of vendor credit standing behind an AI buyer.
- Nov 4
Google signed 3 credit support agreements backstopping Anthropic's rent on about 401 megawatts in Kentucky, with contracted commitments of about $19 billion. Edition 073's lead card, filed the same day as this one.
- Nov 4
AMD's 10-Q discloses $8.5 billion of partner guarantees, $13.3 billion of leases to be passed on, $6,175 million of cloud compute commitments and $5.1 billion of equity investment commitments.
AMD shareholders, who now hold a chipmaker with a credit book; Moody's and Standard and Poor's, which rate AMD; the unnamed partners whose leases are guaranteed; the landlords holding those leases; Nvidia, which does the same thing differently; and auditors asked why an $8.5 billion exposure has an immaterial fair value.
What to watch
- Would strengthen itAMD, Nvidia, Broadcom or Marvell discloses a further increase in guarantees of customers' lease or debt obligations, or any payment under such a guarantee, by December 31, 2027.
- Would weaken itAMD's maximum guarantee exposure falls below $4 billion, or its uncommenced data centre leases are assigned in full to partners, in a filing by December 31, 2027.
- Would strengthen itA regulator, auditor or rating agency publicly questions the derivative treatment or the immaterial fair value of these guarantees by June 30, 2028.
Why it weighs this much
Cost is medium today and asymmetric tomorrow: nothing has been paid, but the exposure is real and AMD has also put $1.0 billion of cash into one partner's share offering. Commitment is high because the guarantees are signed contracts disclosed in a filing certified by AMD's officers, and because 15-year lease guarantees cannot be unwound by a change of mind. Reversibility is moderate: the guarantees shrink as partners pay, and may terminate on certain events, but AMD cannot hand them back. Persistence runs to 15 years on the lease side and 6 months on the debt side, so most of the weight is long.
The words
- Guarantee
- A promise to pay someone else's bill if they do not. It costs nothing until the other party fails, and then it costs everything.
- Credit derivative
- An accounting label for a contract whose value moves with someone else's creditworthiness. It sits at fair value on the balance sheet, not as debt.
- Level 3 fair value
- A value estimated from the company's own unobservable inputs, because no market price exists. The least checkable of the 3 accounting tiers.
