Confirmed 1 Nov 2026 · Capital A one-minute read

Marvell agreed to buy Lumentum for $115 billion, all in stock.

The merger agreement was signed on November 1 and announced on November 2. Lumentum holders get 4.500 Marvell shares each, and closing is expected in the first half of 2028.

Until now

Optical parts were components Marvell bought from its suppliers.

Now

Marvell is paying a third of itself to own them.

Why it matters

Marvell is giving Lumentum holders 33% of the combined company for optical connectivity it could have kept buying. The outside date is November 1, 2027, extendable to August 1, 2028. A $3.2 billion fee if regulators block it says both sides expect a long review.

Established

  • The exchange ratio is fixed at 4.500 Marvell shares per Lumentum share.
  • Implied enterprise value is $115 billion, a 23.9% premium to October 28.
  • Marvell owes $3.2 billion if regulators block it, $5.8 billion otherwise.

Not established

  • That it closes. Stockholders and regulators have not voted yet.
  • That the cost savings arrive. That figure is Marvell's own forecast.
  • What the market is worth. The $550 billion figure is the companies'.

The record

Marvell Technology, Inc. filed a Form 8-K with a date of earliest event reported of November 1, 2026, signed November 2 by Mark Casper, chief legal officer. We read it at sec.gov. Item 1.01 states that on November 1, 2026 Marvell entered an Agreement and Plan of Merger with Lumentum Holdings Inc. and 2 Marvell merger subsidiaries. The structure is a two-step merger: Merger Sub I merges into Lumentum, which survives as a wholly owned subsidiary, and Lumentum then merges into Merger Sub II. Each Lumentum share converts into 4.500 Marvell shares, with cash for fractions. Lumentum preferred converts on an as-converted basis, or into a new Marvell Series B Preferred at the holder's election. Options and restricted stock units roll into Marvell awards; performance units become time-vesting units. Three Lumentum-designated directors join Marvell's board, which has 7 members. Termination fees: $5.8 billion from Marvell, $2.9 billion from Lumentum, and a separate $3.2 billion regulatory fee from Marvell. Either side may terminate if the merger is not done by November 1, 2027, extendable for regulatory delay to August 1, 2028. Closing needs both stockholder votes, expiry of the Hart-Scott-Rodino waiting period, other regulatory approvals, an effective Form S-4, Nasdaq listing and no material adverse effect. The joint press release, exhibit 99.1, datelined Santa Clara and San Jose, California, November 2, 2026, gives the enterprise value as $115 billion, about $1,132 per Lumentum share, a premium of about 23.9% to each company's unaffected close on October 28, 2026, the last trading day before speculation began. Marvell stockholders keep approximately 67% of the combined company on a fully diluted basis and Lumentum stockholders take approximately 33%. The release puts the combined addressable market at $550 billion and claims line of sight to more than $1 billion of annual run-rate cost synergies, accretive to non-GAAP earnings per share in year one. Matt Murphy, Marvell's chairman and chief executive, calls the shift toward optical connectivity "an opportunity that comes along once in a generation." Michael Hurlston, Lumentum's chief executive, joins Marvell's board. Marvell also reported preliminary third-quarter fiscal 2027 revenue consistent with guidance, holding the midpoint and narrowing the range to plus or minus 2% from 5%. Reported, not read at a primary source: Marvell closed down 12.72% and Lumentum down 18.59% on November 2.

How it got here

  1. Aug 28

Marvell reports its best quarter ever and the stock falls 10%. Edition 003 carded it. The market was already pricing Marvell's electrical interconnect business as the slower half of the AI connectivity story.

  2. Oct 28

The last trading day before market speculation about a transaction begins. The press release uses this date for the unaffected share prices from which the 23.9% premium is calculated.

  3. Nov 1

Marvell, Lumentum and two Marvell merger subsidiaries sign the Agreement and Plan of Merger. Both boards approve unanimously. Nothing is public yet.

  4. Nov 2

The joint press release and two Form 8-K filings land before the opening. Lumentum separately reports first-quarter fiscal 2027 results. A joint investor call runs at 8:00 a.m. Eastern Time.

Who has to react

The Federal Trade Commission or Department of Justice, which must clear a $115 billion combination in AI connectivity; Chinese and European merger regulators, who can hold it past the outside date; Nvidia and Broadcom, whose optical suppliers are consolidating; Coherent, Fabrinet and other optical makers now facing a vertically integrated rival; Micron; and both sets of stockholders, who must vote.

What to watch

  • Would strengthen itA second optical or photonics maker above $10 billion is acquired by a chip company, or Marvell files its Form S-4 with a second confirmed anchor customer for integrated optics, by June 30, 2027.
  • Would weaken itThe Hart-Scott-Rodino waiting period produces a second request and the deal is abandoned, or either stockholder vote fails, or the outside date of November 1, 2027 passes unextended.
  • Would strengthen itA regulator opens an in-depth review citing vertical foreclosure in optical components, or a named customer objects on supply access grounds, by March 31, 2027.

Why it weighs this much

Signal strength
CostHigh
CommitmentHigh
ReversibilityModerate
PersistenceStructural

Cost is high. Marvell is issuing roughly a third of itself, has agreed a $3.2 billion regulatory break fee and a $5.8 billion general one, and has paid 3 investment banks. Commitment is high: a signed definitive agreement approved unanimously by both boards, filed with the regulator, with board seats and a charter amendment attached. Reversibility is moderate, not low: the deal still needs 2 stockholder votes and clearances, and the outside date can push to August 2028. Persistence is structural. If it closes, the electrical and optical halves of AI connectivity sit inside one company and cannot be separated again cheaply.

The words

All-stock transaction
The buyer pays in its own shares rather than cash. The seller's holders take the buyer's share price risk, so the value moves until closing.
Fixed exchange ratio
The number of buyer shares per target share is set now and does not adjust if either price moves. Here it is 4.500.
Regulatory termination fee
A sum the buyer pays the target if competition authorities block the deal. Its size signals how much antitrust risk both sides priced in.
Indium phosphide
A compound semiconductor used to make the lasers inside optical transceivers. Few companies can manufacture it at volume.
