Confirmed 2 Nov 2026 · Capital A one-minute read
Oracle sold $10 billion of bonds at up to 8.650% and launched $10 billion of stock.
Both came on November 2, the same day. Oracle's notes are rated Baa2 negative by Moody's and BBB- by Standard and Poor's, one notch above junk.
Oracle funded its AI build with debt and operating cash.
It is selling shares as well, at a discount, to keep building.
Why it matters
An 8.650% coupon on a 2046 bond is what an investment-grade borrower pays when lenders doubt the plan. Selling stock on the same day says debt alone would not cover the build. The prospectus says general corporate purposes, so nothing legally ties the money to AI.
Established
- Five note tranches total $10.0 billion, with coupons from 7.000% to 8.650%.
- A separate prospectus supplement offers $10 billion of common stock.
- Use of proceeds is general corporate purposes, with no named project.
Not established
- That any of it funds AI. The prospectus names no project.
- The final share price. The stock prospectus was still preliminary.
- That Oracle needed the cash. It gave no liquidity reason.

The record
Oracle Corporation filed a free writing prospectus dated November 2, 2026 under Rule 433, registration number 333-299752, read by us at sec.gov. It is the final pricing term sheet for what it calls the Investment Grade Notes Offering, and it prices 5 tranches: $2,000,000,000 of 7.000% notes due November 4, 2029 at 99.835 of principal, yielding 7.062%, at 240 basis points over the 4.875% Treasury of October 2029; $1,750,000,000 of 7.450% notes due November 4, 2031 at 99.942, yielding 7.464%, at 275 basis points over the 4.750% Treasury of October 2031; $2,250,000,000 of 7.850% notes due 2033; $2,500,000,000 of 8.000% notes due 2037; and $1,500,000,000 of 8.650% notes due 2046. The tranches total $10.0 billion. Trade date is November 2, 2026 and settlement November 4, 2026. Expected ratings are Baa2 with a negative outlook from Moody's, BBB- stable from Standard and Poor's and BBB stable from Fitch. BofA Securities is global coordinator, with 11 further joint book-running managers including Wells Fargo, Citigroup, BNP Paribas, Deutsche Bank, J.P. Morgan, Goldman Sachs and HSBC, and 9 co-managers. Separately, Oracle filed a preliminary prospectus supplement on Form 424B5 on November 2, 2026, marked subject to completion, offering $10,000,000,000 of common stock, par value $0.01, listed on the New York Stock Exchange under ORCL. That document contains no share count: it illustrates 76,528,659 shares at $130.67, the closing price on October 30, 2026, and states the actual number will vary with the sale price. Use of proceeds in the equity prospectus is general corporate purposes, which it says may include capital expenditures, repayment of indebtedness, future investments or acquisitions, and dividends or stock repurchases. Neither document names an AI project, a data centre or a customer. Reported, not read by us at a primary source: the equity priced after Monday's close at $116 per share for 86.2 million shares, about 2.7% below the last close; Oracle's shares fell 8.76% on November 2; and the $20 billion total is described in press coverage as the largest single-day capital raise in the company's history. Not established anywhere we read: the underwriters' discount on the equity, any greenshoe option, the final share count, and how the proceeds split between capital spending and refinancing.
How it got here
- Sep 24
Oracle tells the owner of its largest data centre project that it may not have to pay on time, invoking force majeure. Edition 032 carded it. The first public sign that the build was straining Oracle's cash.
- Oct 27
Oracle agrees to put Google's own AI chips inside its cloud, the first time a hyperscaler has hosted a rival's silicon. Edition 064. Oracle buys capacity rather than building all of it.
- Oct 30
Oracle's shares close at $130.67, the reference price the equity prospectus uses for its illustrative share count 3 days later.
- Nov 2
The notes price in 5 tranches at 7.000% to 8.650% with a November 2 trade date, and the $10 billion equity prospectus is filed the same day. Both documents give general corporate purposes.
Moody's, which already has Oracle on negative outlook at Baa2, and Standard and Poor's at BBB-, one notch above speculative grade; the 21 banks underwriting the notes; Oracle shareholders diluted by the equity; Amazon, which arranged up to $80 billion of secured borrowing on October 30; and OpenAI, Oracle's largest cloud counterparty.
What to watch
- Would strengthen itOracle raises further debt or equity above $5 billion, or cuts its capital expenditure guidance, or a rating agency downgrades it below Baa2 or BBB-, by June 30, 2027.
- Would weaken itOracle's next 2 quarterly filings show the proceeds largely refinancing maturing debt rather than funding new capacity, and free cash flow turns positive, by September 30, 2027.
- Would strengthen itMoody's or Standard and Poor's affirms Oracle's rating and explicitly cites the equity issuance in doing so, by March 31, 2027.
Why it weighs this much
Cost is high and unusually easy to measure. The coupons run from 7.000% to 8.650% for an investment grade borrower, so the interest bill on $10.0 billion of notes is roughly $780 million a year, and selling $10 billion of equity dilutes existing holders permanently. Commitment is high: priced notes with a trade date and a settlement date cannot be withdrawn, and underwriting agreements are signed. Reversibility is low for the notes, which run to 2046, and low for the shares, which cannot be unissued. Persistence is years, not structural: debt matures, and one equity raise does not change what Oracle is, though a second would.
The words
- Free writing prospectus
- A short filing that fixes the final terms of a bond sale on the day it prices. It is the record of what the borrower actually agreed to pay.
- Baa2 and BBB-
- Investment grade credit ratings. BBB- is the lowest such rating from Standard and Poor's, one step above the speculative, or junk, category.
- Spread to benchmark Treasury
- The extra yield over a government bond of similar maturity. It is the price of the borrower's risk, stripped of interest rate moves.
- General corporate purposes
- Standard prospectus language leaving the borrower free to spend the money on anything. It also means no promise about use can be enforced.
